Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Acadex website and application (the "Service"), operated by Acadex ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Acadex is an AI tool that helps educators generate outcomes-based course syllabi, lectures, quizzes, and K-12 lesson plans, which you can edit and export. We may add, change, or remove features at any time.

2. Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Service. You sign in using Google Sign-In and are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• attempt to access, disrupt, or compromise the Service or its security;
• reverse engineer, scrape, or resell the Service without our written permission;
• upload content that infringes the rights of others or is unlawful, harmful, or abusive.

4. Your content

You retain ownership of the inputs you provide and the documents you create with the Service ("Your Content"). You grant Acadex a worldwide, non-exclusive license to host, store, process, and display Your Content solely to operate and improve the Service for you. You are responsible for Your Content and for ensuring you have the rights to use it.

5. AI-generated output

The Service uses artificial intelligence to generate educational content. AI output may be inaccurate, incomplete, or unsuitable for a given context. You are responsible for reviewing, verifying, and editing all output before relying on or distributing it. Acadex does not provide professional, legal, accreditation, or curriculum-compliance advice, and output should not be treated as such.

6. Intellectual property

The Service, including its software, design, and the Acadex name and logo, is owned by Acadex and protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights in the Service.

7. Third-party services

The Service relies on third parties, including Google Sign-In and AI model providers. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the fullest extent permitted by law, Acadex will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD 100.

10. Indemnification

You agree to indemnify and hold Acadex harmless from any claims, damages, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of the Philippines, without regard to its conflict-of-laws rules. Disputes will be resolved in the courts located in the Philippines.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
